Terms of Service

1. Acceptance of Terms

By accessing or using the CloudPaya platform at cloudpaya.com ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. CloudPaya reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance.

2. Service Description

CloudPaya is a non-custodial cryptocurrency payment gateway. The Service enables merchants to accept cryptocurrency payments from their customers. Key characteristics of the Service:

• Non-custodial architecture: CloudPaya does not hold, control, or have access to merchant funds at any point. Customer payments are routed directly from the payer's wallet to the merchant's wallet via the blockchain.
• Payment processing: CloudPaya monitors blockchain networks to detect and confirm incoming payments, then notifies the merchant via webhooks and dashboard updates.
• SaaS platform: The Service is provided as a cloud-hosted software platform with REST API access, dashboard, and platform plugins.

3. Eligibility

You must be at least 18 years of age to use CloudPaya. By using the Service, you represent and warrant that you have the legal capacity to enter into binding agreements and that your use of the Service does not violate any applicable law or regulation in your jurisdiction.

4. Account Registration

To use the Service, you must create an account by providing a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials and API keys.
• All activity that occurs under your account.
• Providing accurate wallet addresses for receiving payments.
• Notifying us immediately of any unauthorized use of your account.

5. Non-Custodial Nature of Service

CloudPaya is a non-custodial service. This means:

• We do not store, hold, or manage your cryptocurrency funds.
• We do not have access to your private keys.
• Payments are sent from the customer directly to your designated wallet address on the blockchain.
• We cannot reverse, freeze, or withhold blockchain transactions.
• You are solely responsible for the security of your wallet addresses and private keys.

CloudPaya's role is limited to generating payment requests, monitoring blockchain confirmations, and delivering notifications. We are not a bank, exchange, custodian, or money transmitter.

6. Fees and Payment

CloudPaya charges per-transaction fees based on the following tiered structure:

• Transactions under $100: 1% + $0.30
• Transactions $100 – $999: 0.8% + $1.00
• Transactions $1,000+: 0.5% + $2.00

There are no monthly fees, setup fees, or withdrawal fees. Fees are deducted from your CloudPaya credit balance. You must maintain sufficient credits to cover transaction fees. CloudPaya reserves the right to modify the fee structure with 30 days' advance notice.

7. Acceptable Use

You agree not to use CloudPaya for:

• Any illegal activity under applicable laws, including money laundering, terrorist financing, or sanctions evasion.
• Selling prohibited goods or services (illegal drugs, weapons, stolen property, counterfeit goods).
• Fraud, deception, or misrepresentation.
• Attempting to bypass or manipulate CloudPaya's systems, APIs, or security measures.
• Abuse, spam, or overloading the API beyond reasonable usage limits.

CloudPaya reserves the right to suspend or terminate accounts that violate these terms.

8. API Usage

CloudPaya provides a REST API for programmatic access. API usage is subject to:

• Authentication via API keys. You must keep your API keys confidential.
• Reasonable rate limits. Excessive automated requests may be throttled.
• The API is provided "as-is" and may be updated or modified. We will provide reasonable notice of breaking changes.

9. Intellectual Property

CloudPaya, its logo, branding, documentation, software, and API are the intellectual property of CloudPaya. You may not copy, modify, distribute, or reverse-engineer any part of the Service without written permission. Your use of the Service grants you a limited, non-exclusive, revocable license to access the platform for its intended purpose.

10. Privacy

Your use of CloudPaya is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

11. Disclaimers

The Service is provided "as-is" and "as available" without warranties of any kind, express or implied. CloudPaya does not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Blockchain transactions will be confirmed within any specific timeframe.
• Cryptocurrency values will remain stable.

CloudPaya is not responsible for losses resulting from blockchain network issues, incorrect wallet addresses, lost private keys, or cryptocurrency price volatility.

12. Limitation of Liability

To the maximum extent permitted by applicable law, CloudPaya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, arising from your use of the Service. CloudPaya's total liability for any claim arising from the Service shall not exceed the fees you paid to CloudPaya in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless CloudPaya, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

14. Termination

Either party may terminate the account at any time. You can delete your account via the dashboard or by contacting support@cloudpaya.com. CloudPaya may suspend or terminate your account for violation of these Terms. Upon termination:

• Your access to the dashboard and API will be revoked.
• Any pending webhook notifications will cease.
• Funds already settled to your wallet remain yours (non-custodial — we never held them).
• Your data will be retained for 30 days, then deleted per our Privacy Policy.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial law. Any dispute arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.
